CCI Approves Strategic Business Transactions Involving Amazon Affiliates and Partners

The Competition Commission of India (CCI) has given its nod to a significant set of business transactions involving Amazon Asia-Pacific Holdings Private Limited (Amazon Asia-Pacific), Frontizo Business Services Private Limited (Frontizo), Appario Retail Private Limited (Appario), Haverl LLC (Haverl), and Clicktech Retail Private Limited (CRPL).

The approved transactions include:

Acquisition of Frontizo: Amazon Asia-Pacific will acquire a 76% stake in Frontizo from Zodiac Wealth Advisors LLP. Frontizo is known for providing customer support services for Amazon's online marketplaces.

Acquisition of Appario: CRPL will acquire the entire business of Appario, a wholly-owned subsidiary of Frontizo. Appario is involved in retail (B2C) and wholesale (B2B) sales through the Amazon India Marketplace.

Acquisition by Haverl: Haverl will acquire a 1% shareholding in New Trends Commerce Private Limited (NTCPL), which is involved in business onboarding and integration services.

Intra-group Transactions: These transactions involve restructuring among Clicktech Enterprises Private Limited (CEPL), NTCPL, and CRPL, with NTCPL being the parent entity of CRPL and CEPL overseeing NTCPL.

Amazon Asia-Pacific operates as the seller of record for digital Kindle content distribution in India. The company, part of Amazon.com, Inc., is linked to various Amazon Affiliates with operations in India, including retail and wholesale activities.

Frontizo’s primary function is to provide customer support services for Amazon India Marketplace and Amazon.com in the US. Appario, its subsidiary, conducts both retail and wholesale sales in India.

Haverl focuses on investments, while CEPL is the holding entity for NTCPL. NTCPL will be responsible for providing business onboarding and integration services, with CRPL handling sales through the Amazon India Marketplace.

A detailed order from the CCI outlining the decision will be released in due course. This strategic set of transactions is expected to impact the operations and market presence of the involved entities within the Indian retail and digital content sectors.
