The filing states that Musk's bid aims to ensure the continuation of OpenAI's mission. If the board commits to retracting plans to sell its assets and end the conversion to a for-profit entity, Musk will pull back his bid, guaranteeing compensation for the charity equivalent to a fair market sale of its assets.

However, OpenAI's CEO, Sam Altman, announced on Tuesday that the non-profit controlling OpenAI is not up for sale. This announcement comes amid Musk's ongoing lawsuit against Altman and others, asking a U.S. judge to prevent OpenAI's transition to a for-profit organization.
